3.8.1 A Deadlock Resolution Notice is a notice served by one Party on the other in which the Server offers, at the price for each share specified in the Deadlock Resolution Notice (in cash and not on deferred terms), either to sell all its shares in JV Co. to the Recipient of the Deadlock Resolution Notice or to buy all the Recipient's shares in JV Co
3.8.2 A Deadlock Resolution Notice:
3.8.3 If the Parties are unable to resolve a Deadlock in accordance with Article 3.7 above, then either Party may serve a Deadlock Resolution Notice on the other.
3.8.4 The recipient of a Deadlock Resolution Notice may choose to do either of the following, at the price for each share specified in the Deadlock Resolution Notice, by serving a counter-notice within 28 days of receiving the Deadlock Resolution Notice:
(i) buy all the shares in JV Co. of the Server of the Deadlock Resolution Notice; or
